1. About these terms
These terms govern your use of Maxton Personal, a service provided by Business Micro Systems Ltd.
2. What Maxton Personal provides
Maxton Personal is cloud software that supports digital records and Making Tax Digital for Income Tax workflows, including accountant-led and taxpayer or client workflows where applicable.
Maxton Personal is not HMRC. The service is software and does not provide legal, tax or accounting advice.
3. Accounts and authorised use
You must provide accurate account information and protect your credentials. Do not share accounts or invitations with unauthorised people. Accountants and users are responsible for having appropriate authority to act for each client or taxpayer.
4. HMRC connection and authorisation
HMRC access uses HMRC-authorised OAuth flows. You must have the appropriate taxpayer or agent authority. Maxton Personal does not ask you to provide your HMRC login password. HMRC authorisation may expire or be revoked and may then need to be reconnected.
5. HMRC submissions
A submission is made only after an explicit user or accountant action. You must review the information before submitting it. HMRC may accept, reject or otherwise respond according to its systems and rules, and Maxton Personal cannot guarantee HMRC availability, acceptance or a particular tax outcome.
Receipts, correlation information and filing history shown by Maxton Personal should be reviewed and retained as appropriate.
6. Customer records and responsibilities
You or your accountant remain responsible for the completeness and accuracy of source accounting and tax data and for meeting statutory filing and payment obligations. Using Maxton Personal does not transfer those obligations to Business Micro Systems Ltd.
7. Subscriptions and payment
Access may depend on an active subscription. Payments may be processed by Stripe. Charges and pricing are those presented or otherwise agreed at purchase or renewal. We may suspend the service for material non-payment and will give reasonable notice of material pricing changes where appropriate.
8. Service availability
We make reasonable efforts to maintain availability, but maintenance, third-party or HMRC interruptions, internet failures and events outside our reasonable control may affect the service. We do not guarantee uninterrupted or error-free availability.
9. Data and privacy
Your accounting and business records remain your or your client's data, as applicable. Business Micro Systems Ltd processes personal information as described in our Privacy Policy. Depending on the circumstances, we may act as controller for service administration information and processor for records uploaded or processed on your behalf.
10. Intellectual property
Maxton Personal, its branding, design and underlying technology are the intellectual property of Business Micro Systems Ltd or its licensors. Customer and client data remains the customer's or client's data, as applicable.
11. Security
Protect passwords and account access, report suspected compromise promptly, and do not use the service to gain unauthorised access, interfere with systems or misuse HMRC services.
12. Support
Support is available at richard@maxtonsoftware.co.uk. No response time or service-level commitment is promised unless separately agreed in writing.
13. Suspension and termination
You may stop using or close the service subject to any subscription arrangements. Business Micro Systems Ltd may suspend access for material misuse, security concerns, legal or regulatory reasons, or material non-payment.
14. Liability
Nothing in these terms excludes liability where doing so would be unlawful. We are not responsible for errors caused by inaccurate or incomplete customer data, HMRC or third-party outages, or actions outside our reasonable control. This does not limit any rights that cannot lawfully be limited.
15. Changes
We may update these terms for service, legal, regulatory or operational reasons. The latest published version applies, and we will communicate material changes where reasonably appropriate.
16. Governing law
These terms are governed by Northern Ireland law. The courts of Northern Ireland have jurisdiction, subject to any mandatory consumer rights that cannot lawfully be displaced.
